Terms of Use & Acceptable Use Policy

IMPORTANT: These terms govern your access to and use of Celsus. If you do not agree to these terms, do not use the services.

1. Introduction

These Terms of Use and Acceptable Use Policy (the Terms) apply to FixedPoint IO Ltd (Company number 13288661, registered office 20-22 Wenlock Road, London, England, N1 7GU) and its products and services, including Celsus (together, the Services, Celsus, we, us, or our).

By accessing or using the Services, you agree to be bound by these Terms.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Definitions

For purposes of these Terms:

  • Customer Content means content submitted to, stored in, or processed through the Services, including documents, prompts, messages, uploads, files, workspace data, and similar materials.
  • Output means content generated by the Services in response to Customer Content or instructions.
  • AI Features means features that use machine learning or third-party model providers to assist with drafting, retrieval, summarization, classification, or similar functions.

3. Eligibility and Accounts

You must use the Services only in compliance with applicable law and these Terms.

You are responsible for:

  • maintaining the confidentiality of account credentials;
  • all activity that occurs under your account or workspace;
  • ensuring that end users have appropriate authorization; and
  • promptly notifying us of any unauthorized use or security incident involving your account.

4. Acceptable Use

You may not use, or permit others to use, the Services:

  • for unlawful, fraudulent, deceptive, or misleading purposes;
  • to infringe, misappropriate, or violate the rights of others;
  • to distribute malware, spam, or other harmful code;
  • to interfere with, disrupt, or overload the Services or related infrastructure;
  • to attempt unauthorized access to any account, system, or network;
  • to upload or distribute content that is defamatory, abusive, obscene, or otherwise unlawful;
  • to use the Services in a manner that violates professional, confidentiality, court, or regulatory obligations; or
  • to use Output or the Services to build or train a competing model or service except where applicable law clearly permits that use notwithstanding these Terms.

5. Customer Content

5.1 Ownership

As between you and FixedPoint IO Ltd, you retain your rights in Customer Content.

5.2 Permission to operate the Services

You grant us a limited, non-exclusive right to host, copy, store, transmit, process, index, retrieve, display, and otherwise use Customer Content as necessary to:

  • provide and secure the Services;
  • operate requested AI Features and workflows;
  • communicate with subprocessors and infrastructure providers acting on our behalf;
  • prevent abuse, investigate incidents, and comply with law; and
  • enforce these Terms.

5.3 Your responsibilities

You are responsible for ensuring that you have all rights, permissions, notices, consents, and lawful bases needed to submit Customer Content to the Services and to instruct us to process it.

6. AI Features and Outputs

6.1 Professional review required

AI Features may generate Output that is incomplete, inaccurate, misleading, outdated, or not tailored to your specific matter. You are solely responsible for reviewing, validating, and deciding whether to rely on any Output.

Unless we expressly agree otherwise in a separate signed engagement, FixedPoint IO Ltd is providing software services only. We are not a law firm, do not provide legal advice, and do not enter into an attorney-client or solicitor-client relationship with you or your clients through your use of the Services.

6.3 Output ownership and similarity

As between you and us, and to the extent permitted by applicable law, we assign to you any rights we may have in Output generated specifically for your use. Because AI systems are probabilistic, similar or identical output may be generated for other users.

7. AI Providers and Model Training

7.1 Third-party AI providers

We may use third-party AI and infrastructure providers, including the OpenAI API, to provide AI Features.

7.2 OpenAI API data-use position

When Celsus uses the OpenAI API, OpenAI states that API inputs and outputs are not used to train or improve OpenAI models by default, unless the relevant customer explicitly opts in to data sharing.

Consistent with that model, we do not use the OpenAI API in a configuration that opts Customer Content submitted through Celsus into OpenAI model training or improvement unless we first clearly disclose that change and have the legal basis, agreement, or consent required to do so.

7.3 Celsus model-training position

We do not use Customer Content submitted through the Services to train or fine-tune our own general-purpose AI models unless we first clearly disclose that practice and have the legal basis, agreement, or consent required to do so.

7.4 Operational processing and limited retention

The commitments above do not prohibit processing necessary to provide and secure the Services, including transmission to model providers, temporary processing, caching, logging, abuse prevention, indexing, embeddings, retrieval, debugging, and compliance with applicable law.

Third-party providers may also retain limited data for security, abuse monitoring, service operation, or legal compliance. Additional privacy details are set out in the Privacy Policy.

8. Privacy and Confidentiality

Our handling of personal data is described in the Privacy Policy.

You acknowledge that no online service can guarantee absolute security. If you use the Services for confidential or privileged material, you remain responsible for determining whether the Services are appropriate for that use and for configuring access controls consistent with your professional and legal obligations.

9. Intellectual Property

Except for the limited rights expressly granted in these Terms:

  • you retain rights in Customer Content and Output as described above; and
  • we and our licensors retain all rights, title, and interest in the Services, software, branding, documentation, and related intellectual property.

No ownership rights are transferred to you by your use of the Services.

10. Suspension and Termination

We may suspend or terminate access to all or part of the Services if:

  • you violate these Terms;
  • your use creates security, legal, or operational risk;
  • we are required to do so by law; or
  • continued provision of the Services is no longer commercially or technically feasible.

You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including sections relating to Customer Content rights, disclaimers, limitations of liability, indemnity, and governing law.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FIXEDPOINT IO LTD AND ITS SUPPLIERS AND LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIXEDPOINT IO LTD, ITS AFFILIATES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIXEDPOINT IO LTD’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • the amount paid by you to us for the Services in the twelve months before the event giving rise to the claim; or
  • GBP 100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

13. Indemnity

You agree to indemnify and hold harmless FixedPoint IO Ltd, its affiliates, contractors, licensors, directors, officers, employees, and agents from and against claims, liabilities, damages, judgments, losses, and expenses, including reasonable legal fees, arising out of or related to:

  • your use of the Services;
  • your Customer Content;
  • your violation of these Terms; or
  • your violation of applicable law or the rights of a third party.

14. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. If we make a material change, we may provide notice by posting the updated Terms on this page or through the Services.

Your continued use of the Services after the updated Terms become effective constitutes acceptance of the updated Terms.

15. Governing Law and Venue

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, excluding conflict of laws rules.

The courts of England and Wales will have exclusive jurisdiction, unless applicable law requires otherwise.
